Terms of Service for NexisChat

1. Acceptance of Terms

By accessing, downloading, or using the NexisChat web application, mobile application, or desktop application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Francisco Pessano ("we," "us," or "our").

If you do not agree to these Terms, you may not use the Service.

2. IMPORTANT: Disclaimer Regarding WhatsApp and Meta

NexisChat is an independent software tool and is NOT affiliated, associated, authorized, endorsed by, or in any way officially connected with WhatsApp LLC, Meta Platforms, Inc., or any of their subsidiaries or affiliates.

By using this Service, you acknowledge and agree that:

  • Independent Service: NexisChat is a productivity tool that extends the functionality of existing messaging platforms.
  • Platform Risks: The Service relies on the interface and availability of third-party platforms (e.g., WhatsApp). We do not guarantee that the Service will always be compatible with future updates released by these third parties.
  • User Responsibility: You are solely responsible for complying with WhatsApp's Terms of Service and Commerce Policies. NexisChat shall not be liable for any account suspension, ban, or restriction imposed by WhatsApp/Meta resulting from your use of our Service.

3. User Accounts and Access

3.1 Registration

To use NexisChat, you must register for an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Multi-Account Strategy & Paywalls

The Service operates on a tiered access model:

  • Base Plan: Allows connection of one (1) messaging account.
  • Premium/Enterprise Plans: Connecting additional accounts requires an upgrade to a paid subscription.

You agree not to attempt to circumvent these limitations through technical means.

4. AI and Automation Features

The Service includes Artificial Intelligence (AI) features (e.g., chatbots, message generation) powered by third-party providers (such as OpenAI, Anthropic, etc.).

  • Accuracy: AI-generated content may be inaccurate or inappropriate. You must review all AI-generated messages before they are sent to your clients or contacts.
  • Liability: We are not responsible for any messages sent by you or your automated chatbots that result in reputational damage, loss of business, or legal disputes.

5. Subscriptions and Payments

  • Billing: Paid services are billed on a subscription basis (monthly or annually). Payments are processed by third-party merchants of record (e.g., Stripe, Paddle).
  • Changes: We reserve the right to modify pricing with reasonable notice.
  • Cancellation: You may cancel your subscription at any time. Your access to premium features will continue until the end of the current billing cycle. Refunds are provided at our sole discretion or where required by law.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Send unsolicited bulk messages (spam) in violation of applicable laws (e.g., CAN-SPAM, GDPR).
  • Distribute malware, viruses, or harmful code.
  • Harass, abuse, or threaten others.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.

7. Intellectual Property

  • Our Rights: All rights, title, and interest in NexisChat (including software, design, and logos) remain the exclusive property of Francisco Pessano.
  • Your Content: You retain ownership of the messages, files, and data you upload. You grant us a limited license to process this data solely to provide the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXIS CHAT AND FRANCISCO PESSANO SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • LOSS OF PROFITS, DATA, USE, OR GOODWILL.
  • ANY SUSPENSION OR TERMINATION OF YOUR THIRD-PARTY MESSAGING ACCOUNTS (E.G., WHATSAPP) CAUSED BY YOUR USE OF THE SERVICE.
  • SERVICE INTERRUPTIONS CAUSED BY CHANGES IN THIRD-PARTY PLATFORMS.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Francisco Pessano and NexisChat from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights (including WhatsApp/Meta policies).

10. Modifications to the Service

We aim to constantly improve NexisChat. We may add or remove features, or stop providing the Service altogether, at any time. Because the Service interacts with third-party platforms, significant changes by those platforms may require us to modify or disable certain features to ensure stability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
